Overview: Corporate Taxation for Sdn Bhd in Malaysia

A Sendirian Berhad (Sdn Bhd) is a separate legal entity distinct from its shareholders and directors. All profits generated by the company belong to the company and are assessed under the Corporate Income Tax regime, not under the directors’ personal tax rates.

Preferential Tax Rates for Qualifying SMEs:

To qualify for preferential corporate rates, a company must meet the SME criteria:

  1. Paid-up capital in respect of ordinary shares of RM2.5 million or less at the beginning of the basis period.
  2. Gross business income from all sources not exceeding RM50 million for the basis period.
  3. The company must not be part of a group with a related company exceeding the paid-up capital threshold.

Tax Brackets:

  • Year of Assessment 2026 (Current):
    • First RM150,000 chargeable income: 15%
    • RM150,001 to RM600,000: 17%
    • Remaining balance exceeding RM600,000: 24%
  • Budget 2027 Proposed Changes (YA2027) [VERIFY: Subject to gazette]:
    • First RM150,000: 14% (1% reduction)
    • RM150,001 to RM600,000: 16% (1% reduction)
    • Balance above RM600,000: 24%

Mandatory Annual Filings & Statutory Timetable

Operating a Sdn Bhd carries strict statutory deadlines with both LHDN and the Companies Commission of Malaysia (SSM):

1. Form CP204 (Estimated Tax Payable)

Every company must furnish an estimate of its tax payable (Form CP204) for each Year of Assessment not later than 30 days before the beginning of the basis period [VERIFY].

  • Tax installments are payable in 12 monthly installments starting from the 2nd month of the basis period.
  • New SME Concession: Newly incorporated SMEs are generally exempt from submitting CP204 and paying installments for the first two years of assessment [VERIFY: LHDN Practice Note].
  • Revision of estimates can be made in the 6th and 9th month of the basis period using Form CP204A.

2. Form C (Company Income Tax Return)

The company tax return (Form C) must be submitted within 7 months after the close of the accounting financial year end (FYE) via LHDN e-Filing. Any balance of tax due must be paid by the same due date to avoid late payment penalties.

3. SSM Statutory Obligations

  • Annual Return: Must be lodged with SSM each year within 30 days of the anniversary of its incorporation date [VERIFY].
  • Financial Statements: Must be circulated to members and lodged with SSM within 6 months from financial year end (audit exemption criteria apply to qualified dormant, zero-revenue, or threshold-qualifying private companies [VERIFY]).

Deductible Expenses & Capital Allowances

Allowable Business Expenses:

  • Director salaries and bonuses (subject to PCB/tax deductions and EPF/SOCSO).
  • Staff salaries, wages, allowances, and mandatory employer contributions.
  • Rent for business premises in Sabah, commercial utility bills, and insurance.
  • Accounting, secretarial, tax agent, and audit fees.
  • Software subscriptions, digital tools, and website hosting.

Capital Allowances on Business Assets:

Assets such as computers, office furniture, machinery, and commercial vehicles cannot be deducted as an outright expense. Instead, tax relief is claimed over time through Capital Allowances (CA):

  • Initial Allowance (IA): Typically 20% in the year of acquisition [VERIFY].
  • Annual Allowance (AA): Ranging from 10% to 20% annually depending on asset classification [VERIFY].
  • Small-Value Asset Allowance: Small-value assets can be written off at 100% in the year of purchase. Budget 2027 proposes increasing the per-asset threshold from RM2,000 to RM3,000 [VERIFY: Announced proposal].
